| BERNIE STEVENS - PRESIDENT & CEO
Mr. Stevens
has over a decade of experience in the telecommunications
industry. After deregulation, he recognized the opportunity to
resell long distance and founded PNG in 1992. Subsequent to
attending Kent State University, Mr. Stevens served as president
and general manager for an electronics distribution company, as
well as general and sales manager for various consumer
electronics companies. He has a wide range of experience
including turnaround and sales management.
Mr. Stevens serves as President/CEO of PNG. In 2004, he was
awarded the annual Deal Maker/Entrepreneur of the Year Award
from the Association for Corporate Growth (ACG). The Deal
Maker/Entrepreneur of the Year Award is presented by the Greater
Cincinnati Chapter of the Association for Corporate Growth to
recognize the significant achievements of local companies,
entrepreneurs and financiers, who participate in merger and
acquisition activity in Greater Cincinnati. He is also an active
member of the CompTel/Ascent Alliance. Mr. Stevens and his wife
Bobbie are actively involved in their local church and various
charitable foundations, and together they serve on the Board of
Directors for Waumba Camp Ministry. |

| LARRY MOSES - EXECUTIVE VICE
PRESIDENT OF SALES
Mr. Moses
has nearly three decades of experience in many areas of business
including sales, marketing, finance and negotiations. He has
successfully built and trained large national sales forces in
the telecommunications industry since 1988. Mr. Moses played a
vital role as a founder of NTI, a large volume national pay
phone company, where he was responsible for national sales.
Following the sale of NTI, he served as national sales manager
for TLC and ITS national long distance companies.
Mr. Moses is primarily responsible for recruiting, training
and supporting sales agents and their sales networks. He has
served in this capacity since joining PNG in 1993. His
leadership, knowledge, enthusiasm, and work ethic have been a
driving force to make PowerNet Global one of the top resellers
in the telecommunication industry, with over 1,500 agents and
500,000 customers and growing. Larry, aka PowerDog, lives in
Chicago with his wife Donna of 31 years and has four children
and three grandchildren. Mr. Moses earned his Bachelor's degree
in Business Management from Augustana College. |

| RICHARD D. EGAN - CHIEF FINANCIAL
OFFICER
Mr. Egan
has over 20 years in financial management and organizational
development experience that complements PowerNet Global's
seasoned management team. After graduating from The University
of Cincinnati with a degree in Economics, he held senior
management positions in organizations that offered
entrepreneurial opportunities. These opportunities included
tenures in the service, manufacturing and technology sectors.
As CFO, Mr. Egan's experience in the technology sector and
in capital markets is critical for PowerNet Global's growth. He
lives in Cincinnati, Ohio with his wife Julie of 27 years and
has 2 daughters. He is an avid tennis player, actively involved
in local charitable foundations and his local church.

| TODD C. PFISTER- CHIEF BUSINESS
OFFICER
Mr. Pfister
has more than 14 years of comprehensive operations, marketing,
sales, financial, and human resources management experience.
Prior to joining PNG, he served as Vice President of The Lumley
Group, Inc., a Cincinnati-based management and financial
consulting firm. Previous to that he served as Manager of
Administration and Assistant to the Chairman/Treasurer for Valco
Cincinnati, Inc., an international manufacturing company, where
he handled a wide range of financial, operational and human
resources matters.
Mr. Pfister joined PNG as Chief Operating Officer in 1999.
As the COO he was a key contributor to the ten-fold growth of
the business and in September 2004 moved to a new role as Chief
Business Officer. His new role focuses on providing new
marketing programs and to further develop the Commercial and
Consumer market opportunities. Mr. Pfister received his BA in
Business Administration from Taylor University in Upland,
Indiana and his MBA from Xavier University in Cincinnati, Ohio.
Mr. Pfister and his wife Natalie have four children. Outside of
PNG, he is very active in his local church and has served on a
number of non-profit boards. |

| BASIL KANNO - CHIEF INFORMATION
OFFICER
Mr. Kanno
has over 12 years of comprehensive information systems
experience with expertise across a wide range of systems and
applications. At PowerNet Global, he ensures that all facets of
the business, from process reengineering to product rollouts,
are properly supported by the internal systems. Prior to joining
the company in 1999, he was a Senior Consultant with Ernst &
Young as part of their telecommunications practice. Previous to
that he was at EXL Information Corp, where he managed strategic
systems development for their flagship telecommunications
billing product.
Mr. Kanno joined PNG as Chief Information Officer in 1999.
As the CIO he was a key contributor to the ten-fold growth of
the business. Mr. Kanno earned his Bachelor of Applied Science
degree in Computer Science from Simon Fraser University in
Vancouver, British Columbia. |
